Terms of Service
Welcome to The Guest List Nepal (“TGL Nepal,” “we,” “us,” or “our”). These Terms of Service outline the conditions for using our website at theguestlistnepal.com and for engaging our event strategy, planning, production, and guest experience services delivered by Samman Creative & Consulting Pvt. Ltd.

1. Acceptance of Terms
- 1.1 Agreement. By visiting our website, requesting a consultation, signing a proposal, or attending any event produced by TGL Nepal, you agree to these Terms. If you do not agree, please discontinue use of our services.
- 1.2 Eligibility. Our services are designed for individuals and organizations aged 18 or older with legal capacity to enter binding agreements. You confirm you are authorized to engage us on behalf of yourself or your organization.
- 1.3 Updates. We may amend these Terms as our services evolve. Changes become effective once posted. Continued use of our website or services after updates constitutes acceptance.
2. Scope of Services & Engagement
- 2.1 Discovery & Proposals. Services begin after an initial consultation and proposal. Proposals outline scope, deliverables, staffing, and investment. They remain valid for 14 calendar days unless otherwise noted.
- 2.2 Confirmation. Engagement is confirmed only after we receive the signed agreement and retainer. We may decline projects that conflict with existing commitments or brand guidelines.
- 2.3 Services. We design and execute luxury weddings, corporate events, retreats, hospitality activations, and related guest experiences. We coordinate strategy, creative direction, production, vendor management, staffing, guest services, and post-event wrap-up as expressly detailed in the agreement.
3. Fees & Payments
- 3.1 Retainer. A non-refundable retainer (typically 30% of the project fee) is required to lock the date, core team, and production partners.
- 3.2 Billing Currency. Fees are quoted in Nepalese Rupees (NPR) unless otherwise specified. International clients may be quoted in USD. Bank charges and foreign exchange fees are the client’s responsibility.
- 3.3 Schedule. Remaining invoices follow the schedule in the agreement. Delayed payments may pause planning or result in rescheduling. All balances must clear seven (7) days before the event start.
- 3.4 Pass-Through Costs. Deposits to venues, vendors, decor houses, talent, and rentals are due as outlined. We may advance these costs on your behalf only with written authorization and full reimbursement.
4. Client Responsibilities
- 4.1 Decision Makers. You agree to appoint a primary decision maker with authority to approve budgets, design selections, schedules, and vendor contracts.
- 4.2 Approvals. Feedback or approvals must be provided within the timelines set in the production calendar. Missing deadlines may impact availability of vendors, inventory, or venues.
- 4.3 Licenses & Permits. Unless we agree otherwise in writing, you remain responsible for obtaining necessary governmental permits, customs clearances, or visas.
- 4.4 Guest Conduct. You are responsible for the conduct of your guests and for communicating health, safety, and attendance guidelines shared by our team, venues, or partners.
5. Changes, Rescheduling & Cancellation
- 5.1 Scope Changes. Requests that expand or materially alter scope require a written change order with revised pricing and timelines.
- 5.2 Rescheduling. If you need to reschedule, we will make reasonable efforts to secure a new date. Additional costs from venues, vendors, or staffing will be passed through. The retainer is non-refundable but may be applied to a new date within six (6) months subject to availability.
- 5.3 Cancellation. If you cancel the event, all fees paid to date remain non-refundable. Any outstanding third-party invoices become immediately due. We may retain up to 100% of the project fee if cancellation occurs within 30 days of the event.
6. Vendors, Venues & Partners
- 6.1 Selection. We curate certified vendors and venues that align with the event vision and quality standards. Final selection and contract execution rests with you unless otherwise agreed.
- 6.2 Payments. Vendor retainers are typically paid directly by you. If we manage payments, we do so as your agent and may require a dedicated escrow or advance fund.
- 6.3 Substitution. If a vendor cancels or fails to perform, we will recommend replacements. We are not liable for vendor negligence but will advocate for refunds or credits on your behalf.
7. Guest Data & Privacy
- 7.1 Data Use. We collect guest names, contact details, preferences, and RSVP responses solely to deliver the event experience. Data is processed in accordance with our Privacy Policy.
- 7.2 Sharing. We may share limited guest data with venues, caterers, security, or production teams strictly for the confirmed event.
- 7.3 Retention. Guest data is retained for up to 24 months after the event for reporting or rebooking, then securely deleted. You may request earlier deletion by emailing privacy@theguestlistnepal.com.
8. Creative Assets & Publicity
- 8.1 Production Materials. Creative concepts, floor plans, scripts, design decks, lighting plots, and digital assets we produce remain our intellectual property until all invoices are paid in full.
- 8.2 Portfolio Use. You grant us the right to document and showcase the event in our portfolio, social channels, and press releases. We will omit names or details upon written request prior to the event.
- 8.3 Third-Party Usage. Photographer and videographer usage rights follow their respective licenses. We will facilitate extended rights upon request and subject to additional fees.
9. Intellectual Property
- 9.1 Ownership. TGL Nepal retains ownership of brand assets, methodologies, software, runbooks, dashboards, and documentation created or supplied during the project.
- 9.2 License. Upon final payment, you receive a non-exclusive, non-transferable license to use approved deliverables for the event and internal archives.
- 9.3 Restrictions. You may not distribute, sell, reverse engineer, or repurpose our systems, templates, or technology for competing services without written permission.
10. Liability & Indemnification
- 10.1 Limitation. To the fullest extent allowed by law, our total liability is limited to the amount you have paid us for the applicable engagement. We are not liable for indirect, incidental, special, or consequential damages.
- 10.2 Indemnity. You agree to indemnify and hold us, our directors, employees, and partners harmless against claims arising from your event, including guest actions, venue incidents, or breaches of these Terms.
- 10.3 Insurance. We recommend event liability insurance. Some venues require proof of coverage. We can assist with preferred providers.
11. Force Majeure
- 11.1 Events Beyond Control. Neither party is liable for delays or non-performance caused by events beyond reasonable control, including but not limited to natural disasters, political unrest, epidemics, governmental restrictions, or utility failures.
- 11.2 Mitigation. We will work together in good faith to reschedule or adapt the event plan. Additional costs for alternative arrangements are borne by the client unless otherwise agreed.
12. Governing Law & Dispute Resolution
- 12.1 Law. These Terms are governed by the laws of Nepal. Parties agree to the exclusive jurisdiction of the courts in Kathmandu, Nepal.
- 12.2 Good Faith. We aim to resolve concerns through discussion. If a dispute arises, parties agree to attempt mediation before pursuing litigation.
